1. Agreement to Terms
By accessing or using the Invespsoft website and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.
2. Description of Services
Invespsoft provides conversion rate optimization (CRO) consulting services, including but not limited to:
- Website audits and analysis
- User research and testing
- A/B testing and experimentation
- Landing page optimization
- Conversion strategy consulting
- Analytics implementation and reporting
3. Use of Services
You agree to use our Services only for:
- Lawful purposes and in accordance with these Terms
- Purposes that do not infringe upon or violate the rights of others
- Purposes that do not interfere with or disrupt our Services
You agree not to:
- Use our Services for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to our systems or networks
- Transmit any viruses, malware, or other harmful code
- Interfere with or disrupt the integrity or performance of our Services
- Collect or harvest any information from our Services without permission
4. Intellectual Property
All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, are the exclusive property of Invespsoft or its licensors and are protected by copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any materials from our Services without prior written consent.
5. Client Deliverables
For consulting engagements, ownership of deliverables will be specified in individual service agreements. Generally:
- Custom work product created specifically for clients becomes client property upon full payment
- Invespsoft retains ownership of methodologies, frameworks, and pre-existing intellectual property
- Invespsoft may use anonymized case studies and results for marketing purposes unless otherwise agreed
6. Confidentiality
We understand that our work may involve access to confidential business information. We agree to:
- Keep all client data and business information confidential
- Use client information only for the purpose of providing Services
- Not disclose confidential information to third parties without consent
- Implement appropriate security measures to protect client data
7. Payment Terms
Payment terms for consulting services will be specified in individual service agreements. Generally:
- Invoices are due within 30 days of receipt unless otherwise specified
- Late payments may incur interest charges of 1.5% per month
- We reserve the right to suspend Services for non-payment
8. Limitation of Liability
To the fullest extent permitted by law, Invespsoft shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your use or inability to use our Services
- Any unauthorized access to or use of our servers or any personal information stored therein
- Any interruption or cessation of transmission to or from our Services
- Any bugs, viruses, or the like that may be transmitted through our Services
Our total liability for any claims arising from or related to these Terms or our Services shall not exceed the amount paid by you to Invespsoft in the twelve (12) months preceding the claim.
9. Disclaimer of Warranties
Our Services are provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
While we strive to deliver excellent results, we cannot guarantee specific conversion improvements or business outcomes, as many factors outside our control affect website performance.
10. Indemnification
You agree to indemnify, defend, and hold harmless Invespsoft and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses arising out of or in any way connected with your use of our Services or violation of these Terms.
11. Termination
We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use our Services will immediately cease.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or our Services shall be resolved in the courts of New York County, New York.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of our Services after such modifications constitutes acceptance of the updated Terms.
